Jiminy Terms and Conditions

Welcome to Jiminy (https://jiminy.chat) — a trading name of Zhero Tech SRL, P.IVA 14107370968, Via Ticino 30, 20900 Monza (MB), Italy ("Zhero Tech", "we", "us" or "our"). These Terms and Conditions ("Terms") govern your access to and use of Jiminy's software-as-a-service offering, including the web application, APIs, integrations and any related documentation (collectively, the "Service"). By registering for or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.
1. DEFINITIONS
Your unique user account, identified by your email or Google Sign-In, through which you access the Service.
An individual or entity that registers for or uses the Service.
A conversational or task-oriented agent you create, configure and deploy via the Service.
All data, files, documents, text, chat transcripts and content you upload, submit or generate in connection with your use of the Service.
Logs, transcripts and metadata of interactions between you (or your end-users) and AI Agents.

2. ELIGIBILITY & ACCOUNT REGISTRATION
3. SERVICE USAGE & LICENSE
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
- Create, train and deploy AI Agents inside our web app and on third-party websites via provided embed codes or APIs.
- Upload documents to train AI Agents.
- Access analytics and insights derived from Chat Sessions.
You shall not, and shall not permit any third party to:
- Infringe any applicable law, regulation or third-party right.
- Upload or distribute viruses, malicious code or unlawful content.
- Reverse-engineer or tamper with the Service's security features.
- Use the Service to send unsolicited communications or for any form of spamming.
4. DATA PROCESSING & STORAGE
User Data and Chat Sessions are stored on infrastructure under our control. We implement industry-standard technical and organizational measures to safeguard data confidentiality, integrity and availability.
We process personal data in accordance with the GDPR (Regulation 2016/679) and the Italian Data Protection Code (Legislative Decree 196/2003 as amended). See our Privacy Policy for details.
You acknowledge and agree that we may analyze your Chat Sessions (including transcripts and metadata) to:
- Improve and personalize the Service.
- Generate aggregated, anonymized insights and benchmarks.
- Develop new features, products or services.
5. FEES & PAYMENT
Fees and billing terms are set forth on our pricing page or in an accepted Order Form.
All fees are due in advance. We accept credit cards, bank transfers or other methods we may designate. Late payments may incur interest at the maximum rate permitted by law.
Fees are non-refundable except as required by mandatory law or expressly stated in a written agreement.
6. INTELLECTUAL PROPERTY
All intellectual property rights in the Service (software, APIs, documentation, designs, trademarks) remain with Zhero Tech or its licensors.
You retain ownership of your User Data. You grant us a worldwide, royalty-free, sublicensable license to use, reproduce, modify and analyze your User Data (including Chat Sessions) solely to provide, improve and market the Service and to create aggregated, anonymized reports.
7. CONFIDENTIALITY
Each party agrees to keep confidential all non-public information disclosed by the other that is marked confidential or that ought reasonably to be treated as confidential. Confidential information may be used only to perform obligations under these Terms.
8. WARRANTIES & DISCLAIMERS
We warrant that we will provide the Service in a professional and workmanlike manner consistent with industry standards.
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law:
- Our aggregate liability in connection with these Terms or the Service shall not exceed the fees paid by you in the 6 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities.
10. INDEMNIFICATION
You will defend, indemnify and hold harmless Zhero Tech and its officers, directors, employees and agents from any third-party claim arising out of or relating to:
- Your breach of these Terms.
- Your violation of any applicable law.
- Your User Data or use of the Service.
11. TERM & TERMINATION
These Terms commence when you accept them and continue until terminated.
You may terminate these Terms at any time by closing your Account and ceasing use of the Service.
We may suspend or terminate your Account if you breach these Terms, fail to pay fees, or engage in conduct we reasonably deem harmful.
Upon termination, your right to access the Service ends. We may delete or anonymize your User Data in accordance with our data retention policy, unless otherwise required by law.
12. CHANGES TO TERMS
We may modify these Terms by posting revised versions at https://jiminy.chat/terms. The "Last updated" date will reflect the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
13. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by Italian law. Any dispute arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Monza, Italy.
14. MISCELLANEOUS
- Severability: If any provision is held unenforceable, the remainder shall survive in full force.
- Waiver: No delay or failure to enforce any right under these Terms shall constitute a waiver.
- Entire Agreement: These Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement between you and Zhero Tech regarding the Service.
